SongTools Terms of Use

Updated Platform Terms Including Partner Ecosystem, User Content, and General Service Protections

1. DESCRIPTION OF SERVICE

SongTools provides users with access to music discovery, playlisting, promotion, advertising, analytics, campaign management, audience development, content distribution, playlist curator interaction, educational, and related technology services (the “Service”).

The Service may include playlist promotion, advertising tools, Signals, PreRelease submissions, partner integrations, white-label services, APIs, reporting tools, music discovery systems, and curator interaction features.

SongTools may modify, suspend, redesign, or discontinue portions of the Service at any time without notice.

2. USER ELIGIBILITY & ACCOUNT REGISTRATION

By using the Service, you represent and warrant that:
- you are legally authorized to enter into these Terms;
- all registration information provided is accurate and current;
- you will maintain the security of your account credentials; and
- you will comply with all applicable laws and regulations.

If you register or act on behalf of a company, label, distributor, agency, or other entity, you represent that you possess authority to bind such entity to these Terms.

3. USER CONTENT

Users may upload or submit music, metadata, artwork, playlists, promotional materials, videos, testimonials, release information, comments, reviews, messages, and other content (“User Content”).

You represent and warrant that:
- you own or control all rights necessary to submit such content;
- your content does not violate intellectual property rights, privacy rights, publicity rights, or applicable laws;
- your content does not contain unlawful, defamatory, fraudulent, or misleading material.

You remain solely responsible for all User Content submitted through the Service.

4. LICENSE TO USER CONTENT

You grant SongTools and its affiliates a worldwide, non-exclusive, royalty-free license to host, reproduce, display, distribute, modify, optimize, analyze, transmit, and otherwise use User Content solely in connection with operating, improving, marketing, and providing the Service.

This license extends to affiliated services, Partner Platforms, embedded integrations, APIs, and white-label implementations of the Service.

5. PARTNER PLATFORMS & EMBEDDED SERVICES

SongTools may provide Services through distributors, licensors, embedded integrations, API partners, white-label providers, resellers, and affiliated platforms (“Partner Platforms”).

You acknowledge and agree that:
- Partner Platforms are independent businesses;
- Partner Platforms may provide access to portions of the Service;
- SongTools does not control third-party platform operations outside the Service;
- all disclaimers, warranty exclusions, limitations of liability, arbitration provisions, and indemnification protections contained in these Terms extend fully to Partner Platforms and their respective officers, employees, agents, representatives, contractors, successors, and assigns.

6. MEMBER CONDUCT

You agree not to:
- impersonate any person or entity;
- upload infringing or unlawful content;
- manipulate platform metrics or playlist statistics;
- harass, abuse, threaten, or defraud users;
- misuse curator relationships;
- interfere with Service operations;
- attempt unauthorized access to systems or accounts;
- engage in fraudulent promotional practices; or
- use the Service in violation of applicable laws.

SongTools reserves the right to suspend or terminate accounts violating these Terms.

7. THIRD-PARTY SERVICES

The Service may interact with third-party platforms including streaming services, social media services, advertising networks, payment processors, and embedded partner systems.

SongTools does not control and is not responsible for:
- third-party platform availability;
- policy changes;
- algorithmic changes;
- API restrictions;
- content moderation decisions; or
- actions taken by third-party services.

8. SUBSCRIPTIONS, PAYMENTS & REFUNDS

Certain portions of the Service may require payment, subscriptions, memberships, or campaign purchases.

Unless otherwise expressly stated:
- all fees are non-refundable;
- subscriptions may renew automatically;
- pricing may change at any time; and
- access to certain features may depend upon active payment status.

Specific campaign, Signal, or promotional refund policies may be governed by separate commercial agreements or campaign-specific terms.

9. INTELLECTUAL PROPERTY

All Service software, systems, branding, interfaces, databases, designs, workflows, algorithms, and proprietary technology are owned by SongTools or its licensors and protected by applicable intellectual property laws.

Except as expressly permitted, users may not:
- reverse engineer;
- copy;
- redistribute;
- resell;
- modify; or
- exploit the Service or underlying technology.

10. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

SONGTOOLS DISCLAIMS ALL WARRANTIES INCLUDING:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- NON-INFRINGEMENT;
- AVAILABILITY;
- ACCURACY;
- RELIABILITY; AND
- COMMERCIAL PERFORMANCE.

SongTools does not guarantee:
- platform uptime;
- campaign outcomes;
- playlist placements;
- streaming performance;
- follower growth;
- engagement;
- algorithmic performance;
- curator participation; or
- commercial success.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONGTOOLS SHALL NOT BE LIABLE FOR:
- loss of revenue;
- loss of profits;
- reputational harm;
- campaign performance;
- streaming performance;
- playlist removals;
- user disputes;
- third-party platform actions;
- content leaks;
- unauthorized sharing;
- business interruption; or
- indirect, incidental, consequential, special, exemplary, or punitive damages.

These protections extend fully to Partner Platforms and affiliated entities.

12. INDEMNIFICATION

You agree to indemnify and hold harmless SongTools, affiliates, licensors, Partner Platforms, distributors, resellers, white-label providers, API partners, contractors, and their respective officers, directors, employees, representatives, and agents from and against any claims, liabilities, damages, losses, expenses, or attorney fees arising from:
- your User Content;
- your use of the Service;
- your violation of these Terms;
- intellectual property claims; or
- violations of applicable law.

13. TERMINATION

SongTools may suspend or terminate accounts or access to the Service at any time for:
- policy violations;
- fraudulent activity;
- intellectual property disputes;
- abuse of the platform;
- nonpayment; or
- legal compliance requirements.

Termination does not eliminate payment obligations or provisions intended to survive termination.

14. DISPUTE RESOLUTION

Any dispute relating to these Terms or the Service shall be governed by the laws of the State of New York.

You agree to exclusive jurisdiction and venue in New York for all disputes.

15. NO CLASS ACTIONS OR JURY TRIALS

ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY.

YOU WAIVE:
- jury trial rights;
- class action participation; and
- representative proceedings.

These protections extend fully to Partner Platforms and affiliated entities.

16. GENERAL PROVISIONS

These Terms constitute the complete agreement between you and SongTools regarding use of the Service.

If any provision is deemed unenforceable, the remaining provisions remain in effect.

SongTools may modify these Terms at any time by posting updated versions through the Service.

Continued use of the Service constitutes acceptance of revised Terms.

Songtools Self-Serve Advertising Terms and Conditions.

Including Signals, PreRelease Submissions, Curator Interactions, and Partner Platform Protections

Section 1. The Service.

Songtools is a music promotion and advertising internet-accessible platform (the “Platform”) that allows Client to fund and activate playlist promotion and display ads that are algorithmically generated based on Client’s distributed or uploaded digital assets without having to interact with a third party vendor or salesperson (“self-serve”). The Platform utilizes proprietary technology to bid on and deliver media on www.playlister.club, www.songtools.io and related apps and services, through Partner-branded or white-labeled experiences, and/or across third party advertising platforms, including but not limited to: (i) social media platforms (Songtools, Instagram, SnapChat, YouTube, TikTok and Google, among others); and (ii) commercial Demand-Side-Platforms or DSPs (each a “Channel” and collectively, the “Channels”) on the Client’s behalf (the “Service”).

The Platform utilizes proprietary technology to deliver media and promotional workflows across www.songtools.io, www.playlister.club, affiliated applications, embedded partner services, social media platforms, digital advertising platforms, playlist curator systems, and commercial demand-side platforms (“Channels”).

Signals and PreRelease submissions allow Client to submit music, unreleased recordings, promotional assets, testimonials, videos, metadata, release materials, and related content directly to independent playlist curators and reviewers (“Curators”).

Section 2. Campaign Purchases and Subscriptions

Client may purchase playlist promotion campaigns, Signals, PreRelease submissions, memberships, display advertising campaigns, or subscriptions (“Campaigns”).

Each Campaign may specify:
(a) the type of campaign purchased;
(b) the applicable Channel;
(c) the promoted song, release, artist, or content;
(d) campaign budget or purchase amount;
(e) campaign duration; and
(f) targeting parameters, where applicable.

Campaigns become effective immediately upon successful purchase confirmation.

SongTools may optimize, modify, pause, or adjust campaigns in its sole discretion to maximize performance or maintain platform integrity.

All sales are final unless expressly stated otherwise in this Agreement.

Section 2.5 Signals & PreRelease Submissions

Signals allow Client to submit music and promotional materials directly to Curators for editorial consideration.

CLIENT ACKNOWLEDGES AND AGREES THAT:
- Curators remain fully independent and editorially autonomous;
- SongTools does not control curator editorial decisions;
- SongTools does not guarantee playlist placements;
- SongTools does not guarantee curator responses or reviews;
- SongTools does not guarantee streaming performance, engagement, reach, follower growth, or commercial success.

All playlist placements, reviews, feedback, and curator actions are solely determined by the Curator.

Signals generally expire after seven (7) days unless otherwise specified within the Service.

Processed Signals are final and non-refundable.

If a Signal expires without curator feedback or processing activity being collected by SongTools, SongTools may issue a full 100% refund or platform credit according to the applicable policy displayed within the Service.

Curator feedback may be delivered through written notes, ratings, audio responses, video responses, or other formats selected independently by the Curator.

SongTools does not guarantee that Curators will respond in any particular format or provide any response at all.

Certain Signal submissions may include unreleased recordings, demos, previews, release plans, metadata, artwork, videos, or confidential promotional materials (“PreRelease Content”).

By submitting PreRelease Content, Client:
- represents and warrants it owns or controls all necessary rights;
- authorizes SongTools and Curators to access and evaluate such content; and
- assumes all risks associated with electronically sharing unreleased material.

SongTools shall not be liable for leaks, unauthorized sharing, piracy, redistribution, release timing conflicts, loss of exclusivity, curator misconduct, negative reviews, playlist removals, or commercial damages arising from Signals or PreRelease submissions.

Section 3. Labels/Promoters/Agencies Representation.

If Client is acting on behalf of an Artist, label, distributor, promoter, agency, or third party, Client represents and warrants that it has authority to bind such Artist or entity to this Agreement.

Client shall not:
- guarantee playlist placements;
- imply SongTools controls curator decisions;
- misrepresent Signals as guaranteed editorial placements; or
- promise commercial performance outcomes beyond SongTools obligations under this Agreement.

All curator actions remain fully independent and discretionary.

Section 4. Deliverables.

SongTools may determine campaign scheduling, positioning, delivery methods, and optimization techniques in its sole discretion.

Client Content must comply with:
- applicable laws;
- intellectual property laws;
- platform policies;
- third-party advertising platform requirements; and
- SongTools guidelines.

SongTools may optimize, modify, rearrange, repurpose, or create derivative advertising variations (“Ad Optimization”) from Client materials for campaign delivery purposes.

Client acknowledges that SongTools users and Curators may interact with Client content in unforeseen ways, including playlist placement, commentary, reviews, ratings, reactions, reposts, or other user-generated activity.

SongTools bears no responsibility for user-generated content or curator-generated responses.

Section 4.6 Curator Responses & Editorial Content

Curator responses, ratings, reviews, commentary, written feedback, audio responses, video responses, and reactions constitute user-generated content.

Curator opinions are solely those of the Curator and do not represent SongTools, affiliates, licensors, distributors, resellers, Partner Platforms, or embedded technology providers.

Curator feedback may be subjective, critical, commercially unfavorable, inaccurate, incomplete, or negative.

SongTools shall have no obligation to remove or modify curator opinions unless required by law.

Section 4.7 Partner Platforms & Embedded Services

SongTools may provide Services through distributors, white-label partners, embedded integrations, licensors, API partners, resellers, or affiliated promotional services (“Partner Platforms”).

Client acknowledges and agrees that:
- Partner Platforms are independent businesses;
- Partner Platforms do not control curator editorial decisions;
- neither SongTools nor Partner Platforms guarantee placements, engagement, streaming performance, or commercial outcomes.

All disclaimers, warranty exclusions, indemnification protections, editorial independence protections, arbitration clauses, and limitations of liability contained in this Agreement extend fully to:
- SongTools;
- affiliates;
- subsidiaries;
- licensors;
- distributors;
- resellers;
- Partner Platforms;
- embedded technology providers;
- API integration partners;
- contractors; and
- their respective officers, employees, representatives, agents, successors, and assigns.

Section 5. Payments and Reporting

All Campaign purchases are non-refundable except where expressly stated otherwise within this Agreement.

SongTools may provide campaign reporting, analytics, curator activity indicators, and performance metrics for convenience only.

SongTools makes no warranty regarding the accuracy or completeness of reporting information.

SongTools does not guarantee:
- campaign reach;
- impressions;
- playlist placements;
- streams;
- clicks;
- saves;
- followers;
- engagement; or
- algorithmic performance.

Section 6. Termination.

SongTools may suspend or terminate Campaigns, Signals, accounts, or Services immediately upon:
- nonpayment;
- abuse of the platform;
- fraudulent activity;
- intellectual property disputes;
- policy violations; or
- legal compliance requirements.

Certain provisions of this Agreement survive termination, including indemnification, confidentiality, limitation of liability, arbitration, and payment obligations.

Section 7. Songtools Control of Service.

SongTools remains the sole owner and operator of the Service and may redesign, modify, suspend, discontinue, or remove any feature, campaign format, or Channel at any time.

SongTools may reject or remove Client campaigns, Signals, or submissions that violate this Agreement or are otherwise deemed inappropriate in SongTools’ sole discretion.

Section 8. Licenses.

Client grants SongTools a worldwide, non-exclusive, royalty-free license to use, reproduce, display, distribute, optimize, modify, and repurpose Client materials solely in connection with operation of the Service.

Client retains ownership of its intellectual property subject to the licenses granted herein.

Section 9. Confidentiality

Confidential Information includes non-public business, technical, campaign, or release information disclosed through the Service.

Client acknowledges that PreRelease Content may be electronically shared with independent Curators and that SongTools does not guarantee confidentiality or protection against leaks, piracy, or unauthorized disclosure.

Section 10. Representations and Indemnification.

Client represents and warrants that:
- it owns or controls all necessary rights to submitted materials;
- submitted content does not infringe third-party rights;
- submitted content complies with applicable law;
- Client possesses authority to bind any represented Artist or entity.

Client agrees to indemnify and hold harmless SongTools, affiliates, licensors, distributors, resellers, Partner Platforms, white-label operators, embedded technology providers, API integration partners, contractors, and their officers, directors, employees, and agents from any claims, damages, liabilities, losses, costs, or attorney fees arising from:
- Client content;
- Signal submissions;
- PreRelease Content;
- curator disputes;
- intellectual property claims;
- unauthorized submissions;
- Client’s use of the Service; or
- Client’s breach of this Agreement.

Section 10.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

SONGTOOLS DOES NOT GUARANTEE:
- playlist placements;
- curator responses;
- streaming performance;
- campaign performance;
- algorithmic performance;
- follower growth;
- engagement;
- review outcomes;
- release success; or
- commercial results.

ALL CURATOR ACTIONS REMAIN INDEPENDENT AND EDITORIALLY DISCRETIONARY.

Section 11. Limitation of Liability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONGTOOLS SHALL NOT BE LIABLE FOR:
- loss of revenue;
- loss of profits;
- reputational harm;
- campaign performance;
- streaming performance;
- playlist removals;
- user disputes;
- third-party platform actions;
- content leaks;
- unauthorized sharing;
- business interruption; or
- indirect, incidental, consequential, special, exemplary, or punitive damages.

These protections extend fully to all Partner Platforms and affiliated entities.

Section 12. Force Majeure.

Neither party shall be liable for delays or failures caused by events beyond reasonable control including platform outages, network failures, acts of God, third-party platform interruptions, or governmental actions.

Section 13. Disputes.

The laws of the State of New York govern this Agreement.

Client agrees to exclusive jurisdiction and venue in New York for all disputes relating to this Agreement.

Section 14. No class or representative arbitration.

ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY.

CLIENT WAIVES:
- jury trial rights;
- class action participation; and
- representative proceedings.

These provisions extend to Partner Platforms and affiliated entities.

Section 15. General.

This Agreement constitutes the complete agreement between Client and SongTools regarding the Services described herein.

SongTools may modify this Agreement at any time by posting revised versions through the Service.

Continued use of the Service constitutes acceptance of revised Terms.

SONGTOOLS UPLOAD AGREEMENT

Updated Upload, Promotional Authorization, Signals & PreRelease Agreement

ARTICLE 1 DEFINITIONS

“Track” means any sound recording, musical composition, vocal performance, demo, preview, unreleased recording, metadata, artwork, promotional asset, testimonial, video, release material, or related content uploaded or submitted through the Service.

“Service” means the SongTools platform and related services including playlist promotion, Signals, PreRelease submissions, curator workflows, analytics, advertising systems, recommendation systems, embedded partner services, APIs, white-label services, and affiliated promotional technologies.

“Curators” means independent playlist curators, reviewers, influencers, music editors, or promotional participants who may access uploaded content through the Service.

“Partner Platforms” means distributors, licensors, embedded technologies, APIs, white-label providers, reseller ecosystems, affiliated services, and third-party platforms connected to the Service.

ARTICLE 2 – LICENSE & PROMOTIONAL AUTHORIZATION

By uploading or submitting content through the Service, You grant SongTools and its affiliates a worldwide, non-exclusive, sublicensable, royalty-free license to:
- host;
- reproduce;
- distribute;
- display;
- stream;
- process;
- transmit;
- optimize;
- modify;
- analyze;
- create promotional adaptations;
- create previews or clips;
- generate thumbnails;
- extract metadata;
- create derivative promotional materials; and
- otherwise use uploaded content

solely in connection with operating, improving, promoting, analyzing, and providing the Service.

This license extends to:
- Signals;
- PreRelease submissions;
- curator review workflows;
- campaign generation;
- advertising delivery;
- recommendation systems;
- analytics systems;
- machine-assisted processing;
- Partner Platforms; and
- affiliated promotional services.

All ownership rights in uploaded content remain with You except for the rights expressly granted under this Agreement.

ARTICLE 3 – SIGNALS, CURATOR ACCESS & EDITORIAL REVIEW

You acknowledge and agree that uploaded content may be transmitted to independent Curators for:
- editorial review;
- playlist consideration;
- Signals;
- PreRelease submissions;
- feedback generation;
- curator responses;
- playlist analysis; and
- related promotional workflows.

Curators may provide:
- written reviews;
- ratings;
- commentary;
- audio responses;
- video responses;
- reactions; or
- other forms of feedback.

You acknowledge and agree that:
- Curators remain fully independent and editorially autonomous;
- SongTools does not control curator editorial decisions;
- playlist placements are not guaranteed;
- curator responses are not guaranteed;
- curator opinions may be subjective, critical, commercially unfavorable, inaccurate, incomplete, or negative.

ARTICLE 4 – PRERELEASE CONTENT

Certain uploads may include unreleased recordings, demos, previews, release plans, confidential promotional materials, unpublished metadata, or embargoed content (“PreRelease Content”).

By uploading PreRelease Content, You:
- authorize SongTools and Curators to access and review such materials;
- acknowledge that electronic sharing carries inherent confidentiality risks;
- acknowledge that SongTools does not guarantee confidentiality;
- assume all risks associated with electronic transmission of unreleased content.

SongTools shall not be liable for:
- leaks;
- piracy;
- unauthorized sharing;
- redistribution;
- loss of exclusivity;
- release timing conflicts;
- curator misconduct; or
- commercial damages arising from PreRelease submissions or curator access.

ARTICLE 5 – NAME, LIKENESS & PROMOTIONAL RIGHTS

You grant SongTools the right to use:
- artist names;
- stage names;
- approved likenesses;
- photographs;
- artwork;
- logos;
- videos;
- testimonials;
- biographical material; and
- promotional assets

in connection with operation, marketing, promotion, analytics, educational materials, and improvement of the Service and affiliated Partner Platforms.

ARTICLE 6 – PARTNER PLATFORMS & EMBEDDED SERVICES

You acknowledge and agree that uploaded content may be processed, transmitted, displayed, analyzed, or distributed through Partner Platforms.

You authorize SongTools to share uploaded content, metadata, campaign materials, Signals submissions, and related assets with Partner Platforms as reasonably necessary to operate the Service.

ARTICLE 7 – AUTOMATED PROCESSING & OPTIMIZATION

SongTools may use automated systems, recommendation systems, analytics systems, optimization tools, machine-assisted workflows, and algorithmic processing technologies to:
- analyze uploaded content;
- optimize campaigns;
- personalize recommendations;
- generate promotional materials;
- adapt creative assets;
- measure engagement;
- improve platform functionality; and
- detect fraud or abuse.

These systems may process uploaded content, metadata, campaign materials, and related information.

ARTICLE 8 – REFUSAL, REMOVAL & PLATFORM INTEGRITY

SongTools may reject, suspend, limit, remove, or refuse uploaded content that:
- violates laws;
- infringes intellectual property rights;
- violates platform policies;
- creates legal risk;
- contains harmful or deceptive material;
- threatens platform integrity; or
- is otherwise deemed inappropriate in SongTools’ sole discretion.

ARTICLE 9 – WARRANTIES

You represent and warrant that:
- you own or control all rights necessary to submit such content;
- your content does not violate intellectual property rights, privacy rights, publicity rights, or applicable laws;
- your content does not contain unlawful, defamatory, fraudulent, or misleading material.

ARTICLE 10 – INDEMNIFICATION

You agree to indemnify and hold harmless SongTools, affiliates, licensors, Partner Platforms, distributors, resellers, white-label providers, API partners, contractors, and their respective officers, directors, employees, representatives, and agents from and against any claims, liabilities, damages, losses, expenses, or attorney fees arising from:
- your User Content;
- your use of the Service;
- your violation of these Terms;
- intellectual property claims; or
- violations of applicable law.

ARTICLE 11 – LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONGTOOLS SHALL NOT BE LIABLE FOR:
- loss of revenue;
- loss of profits;
- reputational harm;
- campaign performance;
- streaming performance;
- playlist removals;
- user disputes;
- third-party platform actions;
- content leaks;
- unauthorized sharing;
- business interruption; or
- indirect, incidental, consequential, special, exemplary, or punitive damages.

These protections extend fully to Partner Platforms and affiliated entities.

ARTICLE 12 – TERMINATION & CONTENT REMOVAL

You may terminate this Agreement by removing uploaded content from the Service.

SongTools may terminate or suspend access to the Service at any time for legal, policy, operational, fraud prevention, or platform integrity reasons.

Following removal or termination:
- cached copies;
- backups;
- archived records;
- transactional records;
- analytics data;
- reporting systems; and
- legally required retention systems

may temporarily retain portions of uploaded information.

ARTICLE 13 – JURISDICTION & DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the State of New York.

Any disputes relating to this Agreement shall be resolved exclusively in New York.

You waive participation in class actions, representative proceedings, and jury trials to the maximum extent permitted by law.

ARTICLE 14 – GENERAL PROVISIONS

This Agreement constitutes the complete agreement relating to uploaded content and supersedes prior upload-related understandings.

SongTools may update this Agreement periodically by posting revised versions through the Service.

Continued use of the Service constitutes acceptance of updated terms.

SONGTOOLS PRIVACY POLICY

Updated Privacy Policy Including Signals, PreRelease Submissions, Partner Platforms, and Automated Processing

1. INTRODUCTION

SongTools (“SongTools,” “we,” “us,” or “our”) operates music promotion, playlisting, advertising, curator interaction, analytics, audience development, and related technology services (the “Service”).

This Privacy Policy explains how we collect, use, process, store, disclose, and protect information when you use our websites, applications, APIs, embedded partner services, white-label services, and related technologies.

By using the Service, you consent to the collection and use of information as described in this Privacy Policy.

2. INFORMATION WE COLLECT

We collect information you provide directly to us, information generated through your use of the Service, and information received from third-party platforms.

This information may include:
- name;
- email address;
- phone number;
- billing information;
- payment details;
- artist profiles;
- playlist information;
- uploaded music;
- metadata;
- release information;

3. SIGNALS, CURATOR INTERACTIONS & PRERELEASE CONTENT

Certain features of the Service allow users to submit music, unreleased recordings, promotional assets, videos, testimonials, metadata, release materials, and related content (“Signal Content”) to independent playlist curators and reviewers (“Curators”).

We may:
- transmit Signal Content to Curators;
- store curator responses;
- process curator ratings and reviews;
- facilitate written, audio, or video feedback workflows;
- store and analyze curator interactions; and
- display curator-generated responses within the Service.

Certain submissions may contain unreleased recordings, demos, previews, release plans, confidential promotional materials, or unpublished content (“PreRelease Content”).

By using Signals or PreRelease functionality, you acknowledge and agree that:
- independent Curators may access submitted materials;
- electronic sharing carries inherent confidentiality risks;
- SongTools does not guarantee confidentiality of PreRelease Content; and
- SongTools is not responsible for leaks, unauthorized sharing, piracy, redistribution, or loss of exclusivity arising from curator interactions or electronic transmission.

4. AUTOMATED PROCESSING & OPTIMIZATION

SongTools may use automated systems, machine-assisted workflows, analytics systems, recommendation systems, optimization technologies, and algorithmic processing to:
- optimize campaigns;
- improve targeting;
- generate or adapt promotional assets;
- personalize recommendations;
- analyze engagement;
- measure campaign performance;
- detect fraud or abuse;
- improve platform functionality; and
- enhance user experience.

These systems may process uploaded content, campaign materials, audience signals, and behavioral data.

5. PARTNER PLATFORMS & EMBEDDED SERVICES

SongTools may provide Services through distributors, licensors, embedded integrations, API partners, white-label providers, resellers, and affiliated platforms (“Partner Platforms”).

Information may be shared with Partner Platforms as necessary to:
- provide Services;
- operate embedded functionality;
- process campaigns;
- deliver curator interactions;
- facilitate analytics;
- provide reporting;
- maintain account functionality; or
- comply with contractual obligations.

Partner Platforms are contractually required to protect information consistent with applicable privacy and security obligations.

6. THIRD-PARTY SERVICES

The Service may interact with third-party platforms including streaming services, social media services, advertising networks, payment processors, and embedded partner systems.

These third parties may collect or process information subject to their own privacy policies.

SongTools is not responsible for the privacy practices of third-party services.

7. COOKIES, ANALYTICS & TRACKING TECHNOLOGIES

We use cookies, pixels, web beacons, analytics tools, and related technologies to:
- maintain account sessions;
- personalize experiences;
- measure campaign performance;
- analyze usage patterns;
- improve platform functionality;
- optimize advertising; and
- support security and fraud prevention.

Users may disable certain cookies through browser settings, although portions of the Service may not function properly as a result.

8. HOW WE USE INFORMATION

We use collected information to:
- operate and improve the Service;
- process payments;
- manage campaigns;
- facilitate Signals and curator interactions;
- deliver customer support;
- personalize recommendations;
- analyze engagement;
- maintain security;
- prevent fraud;
- communicate with users;
- comply with legal obligations; and
- enforce agreements and policies.

9. INFORMATION SHARING

We may share information:
- with Partner Platforms;
- with Curators;
- with payment processors;
- with analytics providers;
- with advertising partners;
- with service providers;
- with affiliated entities;
- when required by law;
- during business transfers; or
- to protect rights, safety, or platform integrity.

We do not sell personal information in exchange for monetary compensation.

10. DATA RETENTION

We retain information for as long as reasonably necessary to:
- provide the Service;
- comply with legal obligations;
- resolve disputes;
- enforce agreements;
- maintain security;
- preserve transaction records; and
- operate backup and archival systems.

Deleted accounts or removed content may persist temporarily in backups, logs, archives, fraud-prevention systems, or legal compliance records.

11. SECURITY

We implement commercially reasonable administrative, technical, and organizational safeguards designed to protect information.

However, no method of transmission or electronic storage is completely secure, and SongTools cannot guarantee absolute security.

12. YOUR RIGHTS & CHOICES

Depending on your jurisdiction, you may have rights relating to:
- access to personal information;
- correction of inaccurate information;
- deletion requests;
- data portability;
- objection to certain processing activities;
- marketing preferences; and
- withdrawal of consent where applicable.

Requests may be submitted through the Service or by contacting SongTools support.

13. CHILDREN’S PRIVACY

The Service is not intended for children under the age of 13.

SongTools does not knowingly collect personal information from children under 13 without appropriate parental consent.

14. INTERNATIONAL USERS

By using the Service, you understand that information may be processed and stored in the United States and other jurisdictions where SongTools, Partner Platforms, affiliates, or service providers operate.

SongTools may update this Privacy Policy periodically.

Material changes may be communicated through the Service, by email, or through other reasonable notice methods.

Playlister Club A&R Independent Contractor Agreement

Updated Independent Curator & Editorial Network Participation Agreement

1. DESCRIPTION OF SERVICES

Beginning on the execution or effective date of this Agreement, Contractor will provide independent music curation, editorial review, playlist evaluation, artist discovery, feedback, and related curator participation services (collectively, the “Services”).

PlaylisterClub operates music discovery, playlisting, Signals, PreRelease submission, and promotional technology platforms that allow artists, labels, distributors, and other users to submit music and promotional materials to independent Curators for editorial consideration.

Contractor agrees to independently review, evaluate, rate, analyze, comment on, and optionally place music submissions using tools provided by PlaylisterClub.

Contractor acknowledges and agrees that:
- all playlist placements, reviews, ratings, and curator responses are independently determined editorial decisions;
- Contractor retains full editorial discretion;
- PlaylisterClub does not direct or control Contractor’s editorial decisions;
- Contractor is never required to place any submission on any playlist;
- compensation is not tied to whether any submission is placed on a playlist.

Contractor shall determine the methods, timing, and manner of performing the Services.

2. PAYMENT FOR SERVICES

PlaylisterClub may compensate Contractor based on platform participation, curator activity, editorial engagement, feedback quality, review completion, platform integrity, and other participation metrics determined by PlaylisterClub.

Compensation may be tracked through a points system, curator dashboard, participation scoring system, or similar platform tools.

Contractor acknowledges and agrees that:
- compensation is not guaranteed;
- compensation is not tied to playlist placement outcomes;
- compensation may vary over time;
- PlaylisterClub may withhold, reverse, adjust, or deny compensation for fraud prevention, platform integrity, policy violations, suspicious activity, low-quality participation, manipulative behavior, fake engagement, artificial streaming, dishonest feedback, or violations of this Agreement.

Contractor is solely responsible for all taxes, reporting obligations, insurance, and governmental obligations relating to compensation received under this Agreement.

3. EDITORIAL INDEPENDENCE & PLATFORM INTEGRITY

Contractor agrees to maintain independent editorial judgment at all times.

Contractor shall not:
- guarantee playlist placements;
- imply that payment guarantees placement;
- accept compensation from third parties in exchange for placement;
- manipulate playlist metrics;
- artificially inflate streams, followers, saves, or engagement;
- engage in deceptive promotion practices;
- provide dishonest, automated, copied, misleading, or low-quality feedback;
- engage in payola-like conduct;
- misrepresent Contractor’s relationship with PlaylisterClub.

Contractor acknowledges that PlaylisterClub maintains platform integrity systems designed to detect fraud, abuse, suspicious activity, artificial streaming, low-quality participation, or manipulative behavior.

PlaylisterClub may monitor curator activity using automated systems, analytics tools, quality scoring systems, moderation workflows, and fraud detection technologies.

4. SIGNALS & PRERELEASE CONTENT

Contractor may receive access to unreleased recordings, demos, previews, metadata, release plans, videos, testimonials, promotional assets, or confidential artist materials (“PreRelease Content”).

Contractor agrees:
- to treat PreRelease Content as confidential;
- not to share, distribute, leak, reproduce, repost, or disclose PreRelease Content outside the platform;
- not to use PreRelease Content for personal gain;
- not to provide PreRelease Content to third parties without authorization.

Contractor acknowledges that unauthorized disclosure of PreRelease Content may cause significant commercial harm to artists, labels, distributors, Partner Platforms, and PlaylisterClub.

Confidentiality obligations survive termination of this Agreement.

5. CURATOR CONTENT & RIGHTS

Contractor acknowledges and agrees that:
- reviews;
- ratings;
- curator responses;
- testimonials;
- written commentary;
- audio responses;
- video responses; and
- other curator-generated materials

created through the Service may be stored, analyzed, displayed, distributed, promoted, modified, sublicensed, or otherwise used by PlaylisterClub and affiliated Partner Platforms in connection with operation, promotion, analytics, educational content, marketing, or improvement of the Service.

Contractor grants PlaylisterClub a worldwide, perpetual, royalty-free, sublicensable license to use such materials.

6. PARTNER PLATFORMS & EMBEDDED SERVICES

PlaylisterClub may provide curator workflows, Signals, PreRelease submissions, analytics, playlisting tools, or related services through distributors, licensors, API integrations, white-label services, embedded technologies, reseller ecosystems, and affiliated platforms (“Partner Platforms”).

Contractor acknowledges and agrees that:
- Partner Platforms are independent businesses;
- Partner Platforms may facilitate access to submissions;
- all protections, disclaimers, indemnification rights, and limitations of liability contained in this Agreement extend fully to Partner Platforms and their officers, employees, representatives, contractors, successors, and assigns.

7. RELATIONSHIP OF PARTIES

Contractor is an independent contractor and not an employee, agent, representative, partner, or joint venturer of PlaylisterClub.

Nothing in this Agreement creates:
- employment;
- agency authority;
- partnership;
- exclusivity; or
- guaranteed work opportunities.

Contractor retains full control over the manner and means of performing the Services.

8. NO SUBCONTRACTING OR DELEGATION

Contractor may not delegate, sublicense, outsource, or transfer curator responsibilities, account access, reviews, playlist management, Signals processing, or PreRelease access to any third party without prior written approval from PlaylisterClub.

9. PROFESSIONAL CAPACITY

Contractor is a professional curator using independent methods, expertise, and judgment to perform Services.

PlaylisterClub does not provide employment-style training or direct supervision regarding editorial decision-making.

10. NO SET HOURS OR LOCATION

Contractor:
- determines their own schedule;
- is not required to work minimum hours;
- may provide services to other businesses;
- provides their own equipment and internet access; and
- is not required to work from any PlaylisterClub location.

11. CONFIDENTIALITY

Contractor may receive confidential information relating to:
- platform systems;
- algorithms;
- artist campaigns;
- PreRelease submissions;
- pricing;
- analytics;
- customer lists;
- promotional strategies; and
- business operations.

Contractor agrees not to disclose or misuse confidential information during or after the term of this Agreement.

12. INTELLECTUAL PROPERTY

All platform systems, workflows, analytics systems, moderation systems, curator dashboards, proprietary technologies, and related intellectual property remain the exclusive property of PlaylisterClub and its licensors.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLAYLISTERCLUB SHALL NOT BE LIABLE FOR:
- loss of revenue;
- reputational harm;
- loss of opportunities;
- third-party disputes;
- platform interruptions;
- streaming performance;
- playlist removals;
- curator account issues; or
- indirect, incidental, consequential, punitive, or special damages.

These protections extend fully to Partner Platforms and affiliated entities.

14. INDEMNIFICATION

Contractor agrees to indemnify and hold harmless PlaylisterClub, affiliates, licensors, distributors, Partner Platforms, API partners, white-label operators, contractors, and their respective officers, employees, representatives, agents, successors, and assigns from and against any claims, liabilities, damages, losses, costs, or attorney fees arising from:
- Contractor conduct;
- playlist activity;
- curator responses;
- PreRelease leaks;
- violations of this Agreement;
- artificial streaming;
- intellectual property disputes; or
- unlawful conduct.

15. TERMINATION

PlaylisterClub may suspend or terminate Contractor access immediately for:
- policy violations;
- fraud;
- suspicious activity;
- artificial streaming;
- manipulation;
- poor-quality participation;
- confidentiality breaches;
- inactivity; or
- legal compliance reasons.

16. DISPUTE RESOLUTION

Any dispute arising from this Agreement shall be resolved exclusively through binding arbitration under American Arbitration Association rules.

The laws of Delaware shall govern this Agreement.

17. GENERAL PROVISIONS

This Agreement constitutes the complete agreement between Client and SongTools regarding the Services described herein.

If any provision is deemed unenforceable, remaining provisions shall remain enforceable.

PlaylisterClub may update this Agreement periodically.

Continued participation in the platform constitutes acceptance of updated terms.
